OFFICIAL RULES

MURAL ART COMPETITION

Sponsor:

4th South Valor Capital LLC, its affiliates and agents (“Sponsor”).

1. NO PURCHASE NECESSARY

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF BEING SELECTED.

2. ELIGIBILITY

The competition is open to individuals who are 18 years of age or older at the time of participation. Employees, agents, and representatives of Sponsor and its affiliates may participate but are not eligible to receive a commission award.

3. EVENT DESCRIPTION

Eligible participants (“Artists”) will create mural artwork on designated structures situated at the property located at:

322, 332, 340 & 344 4th Street South, St. Petersburg, FL 33701

during the public event scheduled for Saturday and Sunday, March 21 & 22, 2026 from the hours of 11:00 a.m. to sundown each day.

Participation is voluntary and subject to these Official Rules and the Artist Participation & Waiver Agreement, which must be signed prior to beginning any work by any Artist wishing to participate.

4. SELECTION OF WINNERS

Five (5) artists will be selected as winners.

  • Four (4) winners will be selected by Sponsor in its sole and absolute discretion based on artistic merit, creativity, originality, and suitability for the project.

  • One (1) winner will be selected based on public voting conducted through Sponsor’s social media platforms or other online mechanisms designated by Sponsor.

Sponsor reserves the right to modify, suspend, or cancel public voting if fraud, technical failure, or manipulation is suspected. Sponsor reserves the right to determine the validity of votes and the method of counting votes in its sole discretion.

All decisions of Sponsor are final and binding.

5. PRIZE

Selected artists will receive the opportunity to enter into a separate mural commission agreement with Sponsor for artwork to be installed at the project.

Sponsor reserves the right to determine:

  • the scope of the commissioned work

  • the compensation

  • the schedule and specifications of the artwork

Selection as a winner does not guarantee execution of a commission agreement if the selected artist and Sponsor cannot agree on final terms.

6. ARTIST CONDUCT

Sponsor reserves the right to remove or disqualify any Artist who:

  • engages in unsafe behavior

  • damages property

  • interferes with other participants

  • violates event safety rules.

7. ARTWORK RIGHTS

Artist retains ownership of the copyright in the artwork created during the competition. Artist hereby grants Sponsor and its affiliates a perpetual, irrevocable, royalty-free, worldwide license to photograph, reproduce, publish, display, and otherwise use the artwork and images of the artwork for promotional, marketing, archival, documentary, or commercial purposes in any media now known or later developed.

Artist acknowledges and agrees that the artwork will be created on structures scheduled for demolition AND THUS THAT THE ARTWORK IS A TEMPORARY INSTALLATION, and expressly consents to the removal, alteration, destruction, or demolition of the artwork and any structure on which it appears. Artist hereby waives any rights under the Visual Artists Rights Act (17 U.S.C. §106A) or similar laws to the extent permitted by law. Sponsor may, but shall have no obligation to, identify Artist in connection with the artwork or related promotional materials.

8. NO APPROVAL RIGHTS/ENDORSEMENT CLAIM

Artist acknowledges that Sponsor shall have no obligation to seek Artist’s approval regarding the use, reproduction, editing, cropping, alteration, or context of any photographs or recordings of the artwork or the competition. Artist waives any claim arising from Sponsor’s use of such images, including claims relating to distortion, modification, or contextual use of the artwork in promotional or marketing materials.

Artist acknowledges that Sponsor may use images of the artwork and Artist’s participation in connection with the promotion, marketing, or publicity of the development project. Artist agrees that such use does not constitute an endorsement by Artist of Sponsor or the project and Artist waives any claim based on alleged endorsement, affiliation, or association.

9. LIMITATION OF LIABILITY

By participating, Artists agree to release and hold harmless Sponsor and its affiliates, members, managers, officers, directors, employees, contractors, and agents from any claims arising from participation in the competition or acceptance of any prize opportunity. THIS RELEASE INCLUDES CLAIMS ARISING FROM THE NEGLIGENCE OF SPONSOR OR ITS AGENTS TO THE FULLEST EXTENT PERMITTED BY FLORIDA LAW.

10. RIGHT TO MODIFY

Sponsor reserves the right to modify, suspend, or terminate the competition if necessary due to safety concerns, technical issues, or circumstances beyond Sponsor’s control.

11. GOVERNING LAW

This competition shall be governed by the laws of the State of Florida.
